Updated on 16 Oct 2026.
Character.AI is in Chapter 11, but the app has not shut down: the Character AI bankruptcy is a sale, not a closure. Character Technologies, Inc., the company behind it, filed a voluntary Chapter 11 petition on 12 October 2026 in the US Bankruptcy Court for the District of Delaware "to facilitate a court-supervised sale of the company", and it says the platform is still running and users can access all services (Character.AI). Disney has agreed to pay $20 million as the opening, or "stalking-horse", bidder, but for a non-exclusive license to certain technology, not for the app (NBC News, reporting Reuters). Whether the app survives depends on who else bids by late November.
This is the overview. For what the case means for your chats, characters and subscription, read is Character.AI shutting down; for how the company got here, read why Character.AI is going bankrupt.

What did Character.AI file for?
Character.AI filed for a Chapter 11 sale, not a liquidation. The company says the process covers "all or substantially all" of its assets and is meant to sell them under court supervision (Character.AI).
The case number is 26-11603 (BLS), and the judge is reported to be Brendan L. Shannon (Traders Agency). Case documents sit with the claims agent, Stretto, Inc., and a Notice of Commencement was filed on 15 October (Character.AI). As reported by Reuters, the filing put both assets and liabilities at $50 million to $100 million (NBC News).
The money problem is plain. Reuters reported the company was losing about $8 million a month (Computerworld), and the sale motion cites "substantial monthly cash burn" and "limited liquidity" (PPC Land). CEO Colin Adams pointed to "significant legal, regulatory, and operational headwinds" and called a court sale the "best opportunity to maximize value for all stakeholders" (Computerworld).

What does Chapter 11 mean here, in plain words?
A Chapter 11 sale is a court-run auction where the business keeps operating while a judge oversees who buys what. Character.AI keeps running the app, the court approves the bidding rules, buyers bid, and the judge signs off on the winner at a sale hearing.
The important word is "sale". Many Chapter 11 cases end with the same company emerging under a repayment plan; this one was filed to sell the assets, so the question for users is who ends up owning the app, the brand and the user data, if anyone wants them.
What is Disney buying in the Character.AI deal?
Disney is bidding $20 million for a non-exclusive, perpetual license to certain intellectual property, and the app is not part of it (NBC News). Tom's Guide notes the deal does not establish that Disney will keep the app or its community (Yahoo Tech, Tom's Guide).
PPC Land read the Disney term sheet in the court motion and lists what the license covers and what it leaves out (PPC Land):
| In Disney's license | Not in Disney's license |
|---|---|
| Code and tools behind training, safety and serving systems | The app and the brand |
| Nine patents (four issued) | Domains |
| User data, chats, user inputs and outputs | |
| Training data and finished models |
User data and chats stay in the bankruptcy estate and are open to other bidders, per the same reading of the motion. The $20 million arrives in pieces: $5.5 million paid up front on 18 September (non-refundable), a $2 million deposit, and $12.5 million at closing (PPC Land).
The people matter more to Disney than the price suggests. The term sheet estimates about $180 million in compensation and retention over three years for staff Disney hires, and 66 of Character.AI's 86 employees were reported as leaving for Disney (PPC Land). Former CEO Karandeep Anand had already joined Disney as chief technology officer in September 2026 (Trending Topics). It is a strange pairing given that Disney sent Character.AI a cease-and-desist letter in late September 2025, after which Character.AI removed bots using Disney characters (Trending Topics).

When is the Character.AI auction?
The bid deadline is 20 November 2026 at 5:00 pm ET. If rival bids arrive, an auction follows on 23 November, then a sale hearing on 24 November, according to the sale motion as reported (PPC Land, Traders Agency). Character.AI itself expects the sale to finish "by the end of November or perhaps early December 2026" (Character.AI).
| Date (2026 unless noted) | Step |
|---|---|
| 13 Nov, 4:00 pm ET | Objections to the sale due |
| 18 Nov | Objections on contracts due |
| 20 Nov, 5:00 pm ET | Bid deadline |
| 23 Nov | Auction, only if there are rival bids |
| 24 Nov | Sale hearing |
| 17 Dec | Outside date for the Disney deal |
| 18 Feb 2027 | Transition services end, at the latest |
Any rival has to open at $21.7 million or more: Disney's $20 million, plus a $700,000 break-up fee, plus $1 million, with raises in steps of $500,000 after that (PPC Land). A hearing on the bidding rules was reported for late October, but the reports disagree on the exact day, so we have left it out.
What happens to Character.AI after the sale?
Two outcomes are possible. A buyer wants the app, the brand and the user data, bids for them, and keeps the service running. Or nobody does, and the app closes. The company has been blunt about the second path: if the sale does not produce a bid that keeps the platform running, "the platform will be wound down" (Character.AI).
Disney's bid alone does not keep the app alive, because the app sits outside its license. My reading: a $20 million opening bid for technology, plus most of the staff leaving for the bidder, sets a low floor for anyone who wants the consumer product. The app's best chance is a buyer who values roughly 163 million current and past users, the figure an earlier company motion gave (PPC Land), more than the cost of running it.
What should Character.AI users do now?
Export your data now, while every service still works. Character.AI says users can delete their account or export their data through the app or website, and that its privacy and security practices have not changed (Character.AI); the steps are in your account settings, as the official help article describes.
Paid subscriptions stay active, billing is unchanged, and subscribers will be told in advance if paid features change (Character.AI). Subscribers keep being charged unless they cancel, and no refund policy has been announced (Yahoo Tech, Tom's Guide). Our advice, beyond the export: copy out the greeting, description and example lines of any character you made, and check your renewal date before it passes. The shutting-down guide walks through each of these.

Frequently asked questions
What is a good alternative to Character.AI right now?
YourCrush.AI is built for adults who want their characters to last: you rebuild a character from the details you saved, pin the memories you want kept, and pick up the story. For a side-by-side look at the other options, see our Character.AI alternatives guide.
Is Character.AI bankrupt?
Yes, in the sense that matters legally. Character.AI filed a voluntary Chapter 11 petition on 12 October 2026 to sell itself under court supervision, and the app is still running while that plays out (Character.AI).
Is Character.AI getting removed?
Not yet. The company says it will wind the platform down only if the sale fails to produce a bid that keeps it running (Character.AI).
Is Disney buying Character.AI?
No. Disney's $20 million bid covers a non-exclusive license to certain technology and patents. It excludes the app, the brand and user data (PPC Land).
Does Character.AI have access to your chats?
Yes. The company holds your chats, and in the bankruptcy they stay in the estate that other bidders can buy. Character.AI says its privacy and security practices are unchanged (PPC Land, Character.AI).
How do I export my Character.AI chats?
Request a data export from your account settings, following Character.AI's help article on downloading your data. Tom's Guide warns that an export may not import into other apps (Yahoo Tech, Tom's Guide).
